The Position
As General Legal Counsel at Safe Life, you will play a critical role in safeguarding the legal interests of the group as it continues its growth journey within the medical device distribution sector. You will provide strategic legal advice and support across various geographies, covering both organic and M&A-related business initiatives. Your work will ensure compliance with applicable laws and regulations while promoting effective risk management. You will serve as the company’s legal advisor, guiding the organization on corporate governance, mergers and acquisitions, intellectual property, and more. The General Legal Counsel will join the executive team and be based at our headquarters in Stockholm.

Key Responsibilities:
Safe Life are on an acquisition-driven growth journey (i.e., the main focus will be on M&A, with less emphasis on other legal work
- Mergers & Acquisitions: Provide legal support for M&A transactions, including conducting due diligence, structuring deals, drafting, reviewing, and negotiating transaction documents. Collaborate with internal teams and external advisors to ensure successful M&A transactions. Support post-transaction integration and related legal matters.
- Policy Development & Compliance Oversight: Assist in developing and implementing internal policies and procedures (e.g., group Code of Conduct) to ensure compliance with laws and ethical business practices.
- Data Privacy Management: Oversee data privacy compliance and serve as the group’s Data Protection Officer, ensuring compliance with data protection laws (e.g., GDPR, CCPA). Develop and implement policies and procedures, and provide guidance on data handling, breach response, and privacy impact assessments.
- Intellectual Property: Manage the company’s global intellectual property portfolio, including patents, trademarks, copyrights, and trade secrets. Work with external counsel on licensing agreements, technology transfers, and IP-related contracts.
- Corporate Governance: Advise on corporate governance issues, including board resolutions (mainly M&A and financing-related), corporate filings, shareholder communications, and compliance with corporate policies. Manage the shareholder ledger and ensure accurate record-keeping.
- Legal Research: Stay updated on relevant legal developments in the medical device industry (e.g., MDR), and conduct legal research as necessary to support business decisions.
- Risk Management: Identify potential legal risks and collaborate with the business to develop strategies for mitigating those risks and minimizing liability.
- Ad-hoc Legal Advice & Support: Provide timely and practical legal advice on a variety of corporate matters, including commercial contracts, corporate governance, dispute resolution, and regulatory compliance.
Qualifications:
- Education: Degree from a distinguished law school.
- Experience: Minimum seven (7) years of relevant legal experience, preferably with a legal advisory firm (Senior Associate level), including specific experience in international M&A processes and in-house legal & compliance settings.
Skills:
- Strong knowledge of corporate law, contracts, compliance, M&A processes, intellectual property rights, and data privacy regulations.
- Excellent analytical, negotiation, and communication skills.
- Ability to handle multiple projects simultaneously and meet deadlines.
- Strong interpersonal skills with the ability to work collaboratively across various organizational levels.
- Strong business acumen and understanding of business operations.
- Fluency in English is required.
